Description du poste
Dans un contexte de forte croissance en France comme à l’international et sous la responsabilité du Head of M&A et en « dotted line » avec la Direction Juridique Groupe, le Senior M&A Lawyer participera à la politique M&A du Groupe et prendra en charge l’ensemble des problématiques juridiques relatives à la croissance externe de Believe, en ce compris:
- Participation aux négociations d’acquisitions de sociétés et de projets de joint-ventures ;
- Support expert juridique dédié à l’équipe M&A ;
- Négociation, rédaction et revue de tous types de contrats et de documents relatifs aux opérations de M&A (contrats d’acquisition, pactes d’actionnaires, lettres d’intention, accords de confidentialité, GAP, etc.) ;
- Préparation de la documentation corporate et gouvernance (conseil d’administration, etc.) en lien avec ces projets M&A ;
- Assistance au closing et gestion du suivi post-closing telles que la mise en jeu des garanties, les contentieux M&A, etc. ;
- Accompagnement des services support et opérationnels dans les Business Units concernées, en vue de l’intégration des nouvelles entités ;
- Coordination des relations avec les conseils extérieurs et suivi de leurs travaux.
Le Senior M&A lawyer veillera également au respect des règles et des procédures internes, ainsi qu’aux principes de gouvernance du Groupe.
**Qualifications**:
Doté(e) d'une solide formation juridique universitaire (Master 2, obtention du CAPA souhaitée), vous disposez de connaissances approfondies en droit des affaires, et tout particulièrement en M&A, et potentiellement en droit du financement.
Vous avez déjà une expérience d’au moins 5 ans au sein de directions juridiques et/ou cabinets d’avocats et vous avez évolué dans un environnement international.
Vous avez une expérience solide de gestion des dossiers M&A de bout en bout (de la structuration au post-closing) en coordination avec les autres fonctions (M&A, Finance, Opérations, etc.).
Vous appréciez travailler en équipe, et avez de bonnes aptitudes relationnelles et commerciales.
