About Saur Group
For more than 80 years, the Saur Group has been assisting local authorities and industrials in France and abroad with their development projects related to water, engineering and works.
The Saur Group provides water production, distribution and treatment, sewerage and wastewater treatment, as well as the construction of facilities, on behalf of local authorities of all sizes in France and outside France. The industry business unit is also providing the most relevant industrial water solutions for industries.
SAUR with the support of its shareholders, has strong ambitions for international development, by strengthening its presence in jurisdictions where SAUR and its subsidiaries already operate but also by winning major projects and acquiring stakes in companies operating in new jurisdictions. In this respect SAUR intends to strength its position both by organic and external growth.
The international and industry legal department of the Saur Group is positioned as a business partner alongside the development and finance teams to achieve these ambitious objectives.
About the job offer
Reporting directly to the Group International and Industry Legal Director, and being part of a team of 15 legal counsels part of two Business Units (International and Industry), the candidate will support the Group's operational activity outside France mainly in the following areas :
On Projects :
In pre-bid and bidding phase, being part of the Project team and providing the following support :
Advice and legal security for commercial development (confidentiality, exclusivity and cooperation agreements)
Analysis, negotiation and drafting of contracts relating to projects (provision of services, engineering and equipment, technical assistance, operation and maintenance contracts, construction contracts, etc.)
Analysis of tender documents and participation in the definition of bids for operation/maintenance projects as well as for concession and complex EPC, DBO and BOT projects and preparing the legal documentation required for the submission of the relevant bids and assessing the risks of the strategic decision taken by the Business Units.
Drafting and negotiating agreements with partners (joind development agreement, consortium agreement, JV Agreement, subcontract).
In the execution phase, being part of the operational team and provide the following support :
Advising operational staff, in the context of monitoring the execution of contracts, including negotiation of amendments and claim management.
On compliance topics :
Supervision of the implementation and monitoring of all the internal control and group ethics and compliance procedures
Promoting and enforcing ethical behavior in accordance with the Group’s Code of Conduct as well as compliance with laws and regulations in countries in which the Business Units operate.
On litigation :
Monitoring the Business Units pre-contractual claims and litigations with legal counsels and external firms.
On M&A, Governance and Corporate :
Providing support throughout the development of the Business Units’ strategy regarding external growth transactions
Following the integration process of the new acquired entities, implement and follow the post closing actions and dealing with the post closing claims
Coordinating the procedures associated with the Business Units’ Corporate Law
Ensuring that the governance processes are complied with and corporate organization is aligned with best practices
Providing assistance to the Finance departments for the preparation of supporting documentation related to intercompany transactions.

Participating in the coordination of the reporting between the international and industry legal teams
Contributing to the Legal Department's knowledge base and to the implementation of tools and templates of contracts within the Group
Travelling occasionally to the different countries where the Group is settled or that the Group wish to develop.
Job-related skills / competencies
Education, languages & experience :
5 years of higher education in international business law; a double degree (LLM, MBA) would be highly appreciated
Fluent English and French both written and spoken, Spanish is a plus
First professional experience (international scope) in law firms and/or international Group in Projects and M&A Transactions for 3 to 5 years.
Personality:
Dynamic, organized, autonomous, you take initiatives and look for solutions,
Excellent relational qualities which allow you to build a relationship of trust with your internal and external contacts
Proven ability to lead and manage the legal process of complex corporate transactions and joint ventures.
Negotiation level proficiency in English and excellent written and oral communication skills,
Ability to manage multiple responsibilities concurrently and effectively respect deadlines.
