L'équipe M&A a la charge de la coordination et du pilotage des opérations M&A de l’ensemble du Groupe CNP Assurances (notamment investissements / désinvestissements dans des participations stratégiques, achat / vente de portefeuilles d'assurances, accords stratégiques de partenariat de bancassurance) en France et à l'International.
Elle coordonne également les contributions de l'ensemble des autres métiers internes pouvant intervenir dans le cadre de ces opérations (juridique, fiscal, RH, IT, actuariat, risques, comptabilité / consolidation, experts métiers, communication institutionnelle) ainsi que l'ensemble des conseils externes intervenant en appui de ce type d'opérations.
Vous serez directement rattaché à la Directrice M&A et aurez pour rôle essentiel de coordonner et de piloter des projets d'acquisition, cession et de partenariat.
De fréquents déplacements notamment à l'étranger sont à prévoir.
Vos principales missions seront:
- en amont : identification des cibles / partenaires, réalisation d'études de marché permettant de qualifier les projets.
- en aval : instruction du projet, coordination de l'établissement des offres, coordination des due diligences, coordination et réalisation des analyses actuarielles et financières, calibrage de l'offre financière et structuration financière, participation aux négociations des accords, participation à la rédaction de la documentation juridique contractuelle, participation aux opérations de closing.
- Vous devrez:
- Garantir la fiabilité des choix de développement et la pertinence des engagements à prendre ;
- Préparer des dossiers pour les différentes instances de gouvernance ;
- Mener à bien l'ensemble du process et des opérations.
**Profil**:
Le titulaire devra justifier d’une expérience d’au moins 7/10 ans en M&A ou Transaction services dans le secteur FIG d’une banque d’affaires et / ou d’un cabinet de conseils. Une formation actuarielle et une expérience plus particulièrement dans le domaine assurance serait un atout additionnel.
- des compétences actuarielles avérées, vous devrez être en mesure de coordonner et de challenger les études actuarielles produites dans le cadre des opérations ;
- de solides connaissances / compétences en assurance de personnes ;
- des capacités confirmées de gestion de projets et de travail en équipe ;
- des capacités d'analyse et de synthèse ;
- du leadership, une aisance relationnelle et un sens de la négociation.
Langues : Anglais Professionnel impératif et idéalement la maîtrise d'une troisième langue Espagnol / Portugais / Italien serait un atout.
