Senior Lawyer Paris, France Fixed-Term Contract Job Purpose Globally assist and provide legal guidance to the business teams involved in the Real Estate and Alternative business lines in carrying out all legal, regulatory, and contractual aspects of this activity. Advise on the structuring of JV/Club deals. Evaluate and weigh multiple inputs/impacts of decisions/course of action and identify proactive solutions to mitigate risks. Ensure harmonization of practices across the businesses and countries. Key Accountabilities Advise on complex transactions (cross-border or local, direct or indirect) with underlying alternative assets, including student housing, hotels, hospitals, data centers, and private equity, including liaising with external lawyers/counsel regarding regulatory, anti-trust, or foreign investment assessments/approvals. Draft and advise on documentation related to the terms, structuring, and launching of JV/Club deals between clients and third parties. Draft, negotiate, and advise on documents related to business/support functions activities involving AXA IM Real Assets entities or clients (e.g., operator agreements, franchise agreements, investment/asset management/advisory agreements) and develop templates. Select, manage, monitor, and liaise with external lawyers/legal counsel, including monitoring their fees. Perform other tasks and projects as assigned. Votre Profil Role Requirements Education/Qualifications French Qualified lawyer 4 years PQE Experience/Skills Extensive experience in Corporate M&A or private equity transactions at an international or well-recognized law firm. Successful experience advising on and negotiating M&A transactions, structuring JV and club deals involving institutional investors. Competencies Adaptability and ability to work with diverse, multicultural teams across different jurisdictions. Assertiveness and solution-oriented approach.
