The legal team for Distributed Generation is seeking a Senior Lawyer specializing in Solar Projects, responsible for the following duties:
Legal assistance for renewable energy projects developed by TotalEnergies Renewables DG:
- Drafting and negotiating relevant contracts and documentation (pre-contracts, shareholder agreements, joint venture agreements, share purchase agreements, bid documentation, guarantees, power purchase agreements, construction contracts, land rights agreements, operation and maintenance contracts, etc.)
- Overseeing legal due diligence and tender submission processes while tracking project construction and operation
- Conducting legal feasibility assessments for new market entries and monitoring regulatory risks
- Supporting the internal corporate approval process (internal committees)
- Managing external legal counsel and overseeing legal expenses
- Supervising mid-level lawyers, junior lawyers, and interns
- Assisting with cross-hub legal workstreams (templates, best practices, training...)
- Providing legal support for (i) cross-hub client tenders, in collaboration with the Marketing & Commercial Performance and hub teams, and (ii) cross-hub transactions (M&A, joint ventures, farm-downs, project/limited recourse portfolio financing)
- Coordinating and contributing to the harmonization of legal support for DG projects globally
- Contributing to the development of appropriate tools to support activities (templates, guidelines, enhancement of know-how, effective document management systems, etc.);
- Overseeing the hiring, utilization, quality, and costs of external legal advisors;
- Fostering a culture of compliance with laws and integrity;
- Providing legal support for litigation and/or claims management related to projects
