As a Corporate Governance Lawyer at CoinShares, you will play a crucial role in ensuring the company's legal function is servicing the French elements of our business in the most effective manner to further the company's overall aims and objectives. You will assist in providing legal support and timely delivery of legal services to the company, and work collaboratively on cross-border, multijurisdictional matters.
Key Responsibilities:Legal- Collaborate with the Head of Compliance & Regulatory Affairs to draft contracts for new products/services and maintain documentation for existing products model contracts with customers, partners, and suppliers.
- Review and comment on all types of contracts with customers, partners, and suppliers, including data protection and confidentiality clauses.
- Maintain contract register and legal files.
- Prepare and coordinate general meetings of French entities, including preparing documents such as appointment letters, minutes, and legal announcements.
- Ensure corporate and shareholder monitoring, including assistance with the transfer of shares, recording transactions, and updating mandatory registers.
- Assist marketing, sales, and customer service teams with their consumer law needs, including reviewing wording on the platform, drafting consents, and legal notices.
- Work with the Head of Compliance & Regulatory Affairs to ensure the Paris office maintains the highest standards of legal, regulatory compliant, and ethical behavior, balancing company performance against corporate integrity.
- Source and provide advice on a wide range of French law-governed and some common law-governed commercial legal matters, including digital assets, financial regulation, investments, prospectuses, shareholder agreements, group structure, acquisitions, and disposals.
- Provide legal analysis and apply drafting skills to a wide range of contractual matters with autonomy, demonstrating an understanding of the wider commercial issues and determining when outsourcing is appropriate.
- Support the Head of Compliance & Regulatory Affairs by providing solutions to practical legal issues, predominantly involving French law and some common law, in a time-pressured environment.
- Assist on regulatory and governance arrangements, policies, and procedures, and the implementation of these in the Paris office.
- Partner with the wider Group legal and Compliance functions to monitor and highlight current and forthcoming French laws and some common law that may affect or have an impact on the business of any Group company.
- Conduct legal research, examine, create, and negotiate draft agreements.
- Support the Head of Compliance & Regulatory Affairs to develop and maintain a legal database of templates, know-how, legal policies, and procedures with a view to creating efficiencies and progressing the legal infrastructure.
- Coordinate and manage legal inputs from third-party or internal resources to assist in the delivery of projects on time and to budget, ensuring that external resources are delivered in an agile way, have relevant subject matter expertise, and have had sufficient brief on the company's requirements.
- Scrutinize legal fees and bill narratives, and ensure they represent good value for money and are commensurate with the tasks, risk level, and the seniority of fee earner resource deployed.
- A French qualified lawyer with 3+ years PQE in corporate governance, commercial law, and regulatory matters in a law firm or in-house.
- Previous experience in-house at an asset manager, investment bank, or Fintech company is an advantage.
- Willingness to take on a broad remit across the department, all business functions, and areas of law is essential.
- Experience managing external counsel is an advantage.
- Resilient, outcomes-oriented, and adaptable to a rapidly changing environment in a cutting-edge industry is essential.
- Ability to operate with ambiguity and navigate smaller, dynamic businesses or smaller entities within larger corporates is an advantage.
- Outstanding communication skills, both orally and in writing, and ability to influence persuasively is essential.
- Fluent in both French and English is mandatory.
