In a landscape marked by ambitious goals and global expansion, we are seeking a Senior Legal Counsel specializing in Renewable Energy Projects and Financing to enhance our international legal team.
Reporting directly to the Head of Legal & Financing, your role will involve providing comprehensive legal support for renewable energy initiatives developed by TotalEnergies Renewables. Your primary responsibilities will include:
• Drafting and negotiating essential contracts and legal documents (including pre-contracts, power purchase agreements, construction contracts, land rights agreements, operation and maintenance contracts, guarantees, shareholder agreements, joint venture agreements, share purchase agreements, and bid documentation).
• Overseeing legal due diligence and tender submission processes, particularly in the context of M&A transactions, while ensuring effective follow-up on project construction and operational phases.
• Conducting thorough legal research and monitoring regulatory risks that may impact projects.
• Managing and coordinating corporate legal matters, including company incorporations, corporate governance, and resolutions from shareholders and boards of directors.
• Supporting project finance activities by negotiating, reviewing, and drafting project finance documentation (such as loan agreements, guarantees, pledges, sponsor support agreements, and waivers).
• Supervising external legal counsel and managing associated legal fees.
• Contributing to the development of tools and resources that facilitate legal operations.
• Providing legal support for litigation and claims management related to projects.
Qualifications/Required Experience
• Postgraduate education: Master’s degree in business law.
• In-depth understanding of both civil and common law systems.
• Proficiency in English and Spanish.
• A minimum of 10 years of experience as a Transactional Counsel in the energy sector or related industries; experience in an international law firm is highly valued.
