**About the Role**:
As Legal Counsel, you will be the first in-house legal hire, working directly in the COO team and with cross-functional teams and subsidiaries. You will lead and manage a wide variety of legal topics critical to our growth and operations. This includes corporate structuring across the group, strategic transactions (fundraising, M&A), compliance, IP, tax, contracts, and regulatory issues such as export control and data protection. You will also help set the foundations for a scalable legal function as the company grows.

**Responsibilities**:
**Corporate & Governance**
- Manage corporate legal matters for Harmattan AI and its subsidiaries (governance, shareholder matters, group structuring ).
- Coordinate with external legal counsel on international legal and corporate topics.
- Draft and review legal documentation such as NDAs, PoAs, shareholder agreements, and internal policies.

**Operations & Strategic Transactions**
- Support all major strategic operations: equity or debt fundraising, acquisitions, joint ventures, and reorganizations.
- Lead legal due diligence processes and manage transaction documentation with investors and legal partners.

**Compliance & Regulatory**
- Own GDPR and broader data protection matters.
- Ensure compliance with export control regulations applicable to defense-related technologies.
- Support KYC and other compliance processes relevant to our activities and partners.

**Contracts & Commercial**
- Draft, review and negotiate commercial contracts with suppliers, partners, and customers.
- Create internal contract templates and standard clauses to scale the legal function efficiently.
- Advise internal stakeholders (tech, product, ops) on legal implications of business decisions.
- ** Expertise**: Pragmatic, business-oriented, and able to balance legal rigor with operational realities.
- ** Communication**: Excellent verbal and written communication skills with the ability to interact with cross-functional teams.
- ** Languages**: Fluent in **English ; French**is a plus.
- ** Mobility**: Willingness and ability to travel internationally occasionally.
- Master’s degree in Law with specialization in business, corporate, or technology law. Admission to a bar is a plus.
- 3-6 years of experience as a legal counsel or lawyer, ideally in a tech company, law firm, or startup/scale-up environment.
- Solid knowledge in corporate law, contract law, and international business regulations.
- Exposure to defense or dual-use sectors, or export control regimes is a plus.
