Fully integrated within the **Criteo Corporate Legal Team**, the Corporate Counsel will support the group’s overall corporate legal strategy. As such, the Corporate Counsel will provide efficient corporate law advice to management, colleagues on the Global Services Team, the People Team, and the various teams of the company’s international operations. **Based in Paris or working remotely in France**, the Corporate Counsel will work closely with the Corporate Legal Team members in Paris and in New York, under the direction of the Legal Director Corporate. This role represents a great career move for a lawyer seeking a challenging opportunity that combines technical legal knowledge with practical experience, interacting with business clients in a demanding, international and fast-paced international environment. We are looking for a talented lawyer who can work independently, but also can take direction as well as collaborate within a collegial environment. The main responsibilities are focused around three points: **General Corporate**: - Support the various corporate teams and business clients in their day-to-day requests. - Engage, direct and supervise outside counsel, including management of fee structure and internal billing administration. **Corporate Governance, M&A and Equity**: - Assist the Legal Director Corporate, VP Associate General Counsel and Chief Legal Officer on all corporate governance matters, including the preparation and distribution of materials for the Company’s Board and Committee meetings, as well as the annual shareholders meeting. - Support the Corporate Development team on M&A, investment, and other strategic transactions and other Criteo functions on internal projects (specifically restructurings). - Provide legal support to the Compensation & Benefit Team on Equity matters. **Legal update**: - Legal researches - Update the Team on a regular basis on the legislative landscape In terms of professional requirements and experience, you should be a: - Qualified lawyer in corporate law with 2+ years of relevant post qualification experience as a corporate counsel, you will have a strong understanding of corporate legal experience providing legal counsel on corporate, regulatory and operational issues in a major international law firm (strongly preferred). - Strong experience providing guidance on corporate governance matters preferred. - Experience in (US) Securities Law would be a plus. - Proficiency in English with the ability to draft and negotiate documents in English. **Key to Success**: - Fluent in French and English. - Excellent interpersonal skills, positive & team-oriented attitude. - Ability to provide advice, with appropriate business and legal judgment; ability to seek guidance within the Legal Team to provide best services to clients. - Excellent oral and written communication skills with ability to effectively communicate with all levels of clients within the company. - Hard-working, self-driven, problem-solving and well-organized. - Flexible, with initiative and ability to work on a broad variety of legal matters concurrently under deadline pressures. - Professional and dedicated to teams objectives and client service.
