THE ROLE
You will be involved in all areas of corporate law and will be mainly responsible for setting up and managing a portfolio of French and foreign companies whose main business is related to port terminals, ship fitting, ship financing and specialised maritime transport.
As a true 'Legal Business Partner', you will be in direct daily contact with the operational teams in order to define the rules of governance specific to each subsidiary, to provide a legal framework for the setting up of subsidiaries and to optimise the organisational structure of the companies entrusted to you, in particular by taking an active part in intra-group reorganisation operations both in France and abroad.
RESPONSIBILITIES
Reporting to the Corporate, Litigation and International Legal Department, you will have the following responsibilities:
Managing the corporate life of the French companies for which you are responsible, including setting up and monitoring governance in each subsidiary (appointments, changes of mandate, authority matrices), drafting equity transactions in collaboration with the finance and tax teams (capital increases, partial contributions of assets, mergers, issues of composite securities, etc.);
Participating in intra-group reorganisation operations (cross-border mergers, simplified mergers, contributions, TUPs, etc.) as project manager for the corporate side, with the ongoing aim of simplifying legal structures and optimising the legal organisation chart;
Working closely with the Group's lawyers and/or local corporate secretaries to ensure day-to-day compliance with local regulations and agreements in force, in particular compliance with shareholders' agreements;
Support the M&A legal team in external growth transactions;
Provide support and technical expertise to the operational teams;
Ensuring the reliability of the corporate database of the Group's subsidiaries and raising awareness of this tool among operational staff;
Implement and monitor certain intra-group contracts;
Provide support to the Legal Department on cross-functional issues;
Ensure compliance with the Group's internal rules and procedures;
Contribute to the improvement of the Legal Department's tools, in particular the digitalisation of the Corporate Department;
Contribute to the monitoring of regulations relating to company law and corporate governance.
PROFILE AND QUALIFICATIONS
Master's degree in Business Law (ideally supplemented by a DJCE and/or LLM-type training abroad).
3 to 5 years' experience in a law firm or in an international group or company of significant size in an international environment.
You will be in contact with all the company's departments and numerous external contacts (lawyers, formalists, statutory auditors, etc.), and you will be able to integrate quickly into a multicultural and international environment. You must have very good written and spoken legal and business English and a very good command of office automation tools.
You are dynamic, flexible, a team player, committed and diplomatic, with clear and simple interpersonal skills and a strong capacity for hard work. You will be able to work closely with other lawyers in France and abroad (Asia, Africa, Europe, United States, etc.) as well as with other Group functions (finance, tax, human resources, operations, etc.).
You will be practical, adaptable and able to find pragmatic and effective solutions. You are familiar with working in project management mode.
