**About the role**:
We are seeking a highly skilled and experienced Legal Professional to join our team as General Counsel at Kiln. As General Counsel, you will play a crucial role in providing and executing legal guidance and strategic advice to the company and to the leadership team.

**Leading Regulatory Strategy**:

- Stay up-to-date on relevant regulatory frameworks and assess their potential impact on Kiln
- Conduct thorough risk assessments to identify potential regulatory challenges
- Provide proactive advice and guidance to mitigate risks and ensure compliance
- Drive the regulatory engagement strategy, and take a thought leadership role with industry groups and engage with policymakers and regulators

**Commercial Contracts**:

- Act as a business partner and provide legal counsel in a business-centric way for corporate strategic transactions and key partnerships, to help us negotiate unique agreements with partners in the finance and digital assets space
- Provide practical advice on legal issues and risks, complex agreement structures and company policies in a risk-tolerant, but compliance-oriented environment
- Draft and negotiate a wide variety of contracts with critical vendors and assist business leaders with contract interpretation and management, in partnership with the Sales and Finance teams

**Corporate Governance and Financing**:

- Lead and manage the legal side of Kiln debt and equity financing, working closely with all stakeholders to ensure terms aligned with Kiln's interests
- Maintain necessary corporate governance with the board of directors and investors

**Strategic Legal Support**:

- Play an active role in Kiln's international expansion efforts, including analyzing and mitigating regulatory implications of expansion
- Identify risks faced by the company and work with the leadership on the appropriate course of resolution

**Requirements**:

- Over 10 years of experience in the legal field as an attorney and as a counsel to high-growth fintech or financial services companies are required, with at least one recent experience working as an in-house legal counsel
- Previous experience as General Counsel, providing legal advice and support across a broader range of issues and offering C-level advice
- Direct experience working with boards of directors and investors
- Proven experience in fundraising, specifically equity-based fundraising, preferably within the private equity or startup sector
- In-depth knowledge of financial regulatory frameworks, and up-to-date knowledge of local regulations related to crypto and blockchain, with a keen interest in this rapidly evolving field
- Prior experience in hiring, managing, and developing a legal team
- Outstanding communication, project management, negotiation, and drafting skills
- Strong judgment with the ability to structure complex transactions, negotiate and draft agreements with strategic partners and investors
- Excels at operating autonomously while maintaining high standards and acting in the best interest of the company.

**Nice-to-have**:

- Previous experience working in a blockchain or cryptocurrency company, showcasing a deep understanding of the industry's unique challenges
- Experience in regulated financial services or prime brokerage is a plus.
- Experience working in a fast-growing environment
- Active involvement in the web3 community
