Job Description

Airbus is looking for a Mergers & Acquisitions Senior Legal Counsel (f/m) to join our Legal Corporate Affairs department based in Toulouse, France. This role will impact Airbus’ major international and transversal projects and partnerships, contributing to the company’s strategy to pioneer a sustainable aerospace for a safe and united world. Airbus Legal M&A is active on a global basis and addresses all types of M&A transactions (acquisitions, divestments, venture or growth capital, joint‑ventures) for all Airbus activities and divisions. The role involves identifying and mitigating risks, ensuring business integrity and advising senior management.

Responsibilities

  • Draft and negotiate preliminary agreements and transaction documents (e.g., Memorandum of Understanding, Letter of Intent, Share Purchase Agreement, Shareholders’ Agreement, joint‑venture agreement).
  • Manage and perform legal due diligence and the post‑closing matters.
  • Mobilise, coordinate with or support other members of the legal department, including antitrust and compliance teams.
  • Monitor compliance with relevant laws and regulations, notably from a Foreign Direct Investment perspective.
  • Select and retain external law firm(s), managing external legal support cost‑efficiently and in line with internal priorities, coordinating with all relevant stakeholders such as M&A, tax, finance, HR, insurance, real estate and business teams.

This role requires frequent business travel, including short‑notice travel.

Qualifications

  • EU, US or UK qualification is prerequisite with specialisation in Business Law and/or Corporate Law.
  • A minimum of 5 years of international M&A experience as a practising lawyer.
  • Strong drafting, negotiating and communication skills.
  • Ability to interface and communicate effectively with the transaction team and external counsel, bankers and consultants.
  • Capability to provide concise, business‑oriented guidance to Airbus top management to enable decision‑making.
  • Ability to cope with a complex and constantly developing business environment.
  • Reactivity, creativity, a result‑oriented mindset; able to work in an international, multi‑cultural, fast‑moving, and complex/technical environment.
  • Team spirit with willingness to contribute to the team and to evolve in an empowering environment.
  • Ability to manage multiple projects simultaneously with effective prioritisation and decision‑making, working under strict deadlines in a fast‑paced and dynamic environment.
  • Negotiation proficiency in English is mandatory; French, German or Spanish are an asset.
