The Position

Senior Legal Manager - PM EMEA

Job Summary

Imerys recherche un/e Responsable Juridique Senior Droit des Affaires dynamique et ouvert/e à l’international pour sa Direction Juridique EMEA basée au siège d’Imerys à Paris, 15ème.

Le poste :

Le/la Responsable Juridique Senior est directement responsable de la gestion juridique générale des affaires pour le périmètre régional qui lui est assigné (exemple : activité EMEA de la Business Area Performance Minerals EMEA & APAC).

Il/elle encadre une équipe de plusieurs juristes (reports directs et un report indirect).

Il/elle contribue à l'amélioration de l'efficacité globale, de la productivité et du professionnalisme de la fonction juridique du groupe.

Le poste a une forte dimension internationale (une partie de l’équipe étant basée au Royaume Uni et en Grèce) et permet de travailler sur des sujets juridiques très variés à fort enjeu pour le Groupe, au sein d’une Direction Juridique EMEA engagée et solidaire de près de 20 personnes réparties sur 5 pays, et avec le soutien d’équipes juridiques spécialisées du Groupe sur les sujets-clé (notamment concurrence/conformité, propriété intellectuelle, assurances, corporate/M&A, gouvernance et financement).

Activités typiques :
  • Management d’équipe : recrutement, encadrement et développement de juristes et de responsables juridiques
  • Rédaction/négociation de contrats commerciaux de tous types (notamment achat/vente, distribution, agence, contrats fonciers/immobiliers, accords de confidentialité, de co-développement, de licence, etc)
  • Gestion des réclamations et des litiges matériels (clients/fournisseurs, tiers notamment voisinage mines/usines, enquêtes et litiges administratifs) - en lien avec l’équipe juridique Assurances le cas échéant
  • Support sur des sujets réglementaires complexes liés à l'exploitation des sites industriels (notamment sujets environnementaux, permis d’exploitation)
  • Premier point de contact sur les sujets concurrence et conformité (anti-corruption, sanctions internationales, RGPD) et déploiement des programmes “Groupe” dans ces domaines
  • Supervision du secrétariat juridique des filiales au sein de son périmètre (approbation des comptes, nomination et révocation des dirigeants, délégations de pouvoirs, etc.)
  • Contribution à des opérations de croissance externe (acquisitions, joint ventures) et d’opérations sur capital/réorganisations internes, en lien avec l’équipe Corporate/M&A.
  • Contribution à la bonne gestion juridique et l’amélioration continue de la fonction :
    • formation des clients internes sur des sujets-clé
    • gestion de la relation avec des avocats externes
    • contribution à des projets transversaux (process, outils, etc)

Le/la Responsable Juridique Senior Droit des Affaires est membre du Comité de Direction de la Business Area correspondant à son périmètre. Il/Elle sera également en contact régulier avec les directeurs de fonctions centrales et leurs équipes. Il/Elle reporte au Directeur Juridique Régional EMEA.

Les compétences recherchées :
  • Formation juridique Master en droit (M2) en France ou tout autre Diplôme en droit équivalent dans un des pays européens suivants : Belgique, Angleterre, Allemagne, Autriche, Italie, Espagne, Grèce, avec une préférence pour un diplôme de droit français. Le diplôme d’avocat en France ou autre pays européen est un plus
  • Au minimum 10 ans d'expérience professionnelle en droit des affaires (cabinet d’avocats et/ou entreprise), dont au moins 3 ans en entreprise sur un poste juridique avec une forte dimension internationale en Europe (si possible incluant France, Royaume-Uni, Allemagne, Espagne, Italie, Grèce)
  • Expérience de gestion d’équipe, si possible avec une composante internationale
  • Maîtrise parfaite de l'anglais et du français (parlé et écrit - langage juridique et des affaires). Une autre langue européenne (notamment espagnol ou italien) est un plus
  • Excellente capacité de communication et de synthèse de problématiques juridiques pour des non-juristes
  • Compétences en négociation et capacité d’influence de parties prenantes

  • Sens des affaires et pragmatisme, proactivité et capacité à proposer des solutions aux situations juridiques complexes
