Role Overview: As a Senior Counsel for M&A and Corporate Governance , you will be instrumental in steering our strategic expansion and fortifying our corporate framework. Collaborating closely with Maya, our Legal Lead for M&A, Corporate & Governance, you will engage in high-stakes projects that significantly impact Qonto's position in the European fintech sector.
Key Responsibilities:
- Lead M&A Transactions: Oversee both corporate and tax dimensions of M&A activities, including international transactions, while working with advisors, legal experts, and the Strategy & Finance teams.
- Manage Corporate Law Transactions: Supervise restructurings, equity transactions, and fundraising efforts, partnering with local teams and external collaborators.
- Enhance Corporate Governance: Revise and implement governance practices to meet established standards, including decision-making protocols and board meeting preparations.
- Oversee Corporate Secretary Duties: Ensure accurate record-keeping and documentation for board and shareholder meetings.
- Facilitate Post-Acquisition Integration: Lead initiatives such as customer transitions and employee equity programs.
- Coordinate Legal Support: Manage relationships with external legal partners and internal stakeholders to ensure effective project execution.
- Support Group Reorganization and Tax Structuring: Collaborate with the Finance team to optimize Qonto's corporate framework.
- Provide Ongoing Legal Expertise: Offer daily corporate and business law guidance across the organization.
