(This is a CDD Role for 12 months while the Legal Counsel is on maternity leave)
**The Corporate Legal Counsel Role**
As part of the Legal Department, including 3 legal counsels, your main missions will be as follows:
✦ Day-to-day management of the companies part of the group, in France and abroad (approval of the annual accounts, amendments to articles of association, book keeping, monitoring of intra-group agreements, holding of meetings and committees,....) and exceptional operations;
✦ Creation of new entities;
✦ Completion of formalities;
✦ Managing the employee free shares plan and liquidity events;
✦ Managing relationships with shareholders and board members;
✦ Management of external counsels;
✦ Development of training programs for operational staff and other internal teams;
✦ Support for M&A projects, as the case may be (participate in due diligence, drafting of corporate and contractual documentation);
✦ In general, advice and assistance on all aspects of corporate law, coordination with the various departments involved.
Business law
✦ Negotiation, drafting and reviewing of commercial contracts (NDAs, license agreements, partnerships, etc.);
✦ Litigation management in France and abroad;
✦ Management of external counsel;
✦ Development of training programs for operational staff and other internal teams;
✦ Participation in improving internal procedures and compliance;
✦ Occasional assistance to the other team members on IP and personal data topics.
**It would be fantastic if you have & you are
✦ DJCE or Master 2 in Business Law and/or Corporate Law
✦ Minimum 3 years of experience in a law firm and/or legal department
✦ High degree of autonomy in day-to-day management
✦ Adaptability and flexibility
✦ Good writing skills, ability to synthesize and analyze
✦ Fluent in verbal and written English and French, given the international environment
✦ IT tools knowledge
