Vous rejoindrez notre équipe de juristes confirmés et vous serez chargé de les assister dans les missions suivantes:
- Participation aux opérations d’investissement et de désinvestissement (structuration, _due diligence_, exécution, etc.)
- Revue de contrats (engagements de confidentialité, contrats de cession, pactes d’actionnaires, contrats de prestation de services, etc.)
- Rédaction de la documentation juridique lors d’opérations sur sociétés (PV, rapports, etc.)
- Droit boursier : communication réglementée (document de référence, rapport financier semestriel, etc.), contacts avec le régulateur (reportings dirigeants, déclarations de franchissement de seuils, etc.)
- Rédaction de notes juridiques, recherches de doctrine et de jurisprudence, veille législative, mise en place de process internes

You will join our team of experienced lawyers and you will be responsible for assisting them in the following missions
- Participation in investment and divestment transactions (structuring, due diligence, execution, etc.)
- Review of contracts (confidentiality agreements, assignment agreements, shareholders' agreements, service agreements, etc.)
- Drafting of legal documentation for corporate transactions (minutes, reports, etc.)
- Stock exchange law: regulated communication (reference document, half-yearly financial report, etc.), contacts with the regulator (management reports, declarations of threshold crossing, etc.)
- Drafting of legal memoranda, research of doctrine and case law, legislative monitoring, implementation of internal processes

- Vous êtes étudiant en Master 2, et idéalement vous êtes élève-avocat
- Vous avez une première expérience au sein d’un cabinet d’avocat,
- Vous maîtrisez le droit des affaires (droit boursier, droit bancaire et financier, droit des sociétés, droit des contrats ),
- Vous avez un anglais courant,
- Vous êtes rigoureux.

You are a Master 2 student, and ideally you are a student lawyer
- You have a first experience in a law firm,
- You are familiar with business law (stock exchange law, banking and finance law, corporate law, contract law, etc.),
- You are fluent in English,
- You are rigorous.
