**Job Description Summary**: As a Senior Counsel, Entity Governance, you will be responsible for managing the day
- to
- day corporate governance operational needs of all GE Healthcare businesses in the relevant region/jurisdictions.

**Responsibilities**:

- Proactively interact / serve as key point of contact to Legal Counsels, Finance and Tax teams in GEHC businesses in the relevant region / jurisdictions to ensure legal entity governance services be delivered in line with business expectations, ensure timely creation, maintenance, and dissolution of legal entities in scope
- Lead and coordinate complex corporate governance matters and projects in the relevant region / jurisdictions
- Coordinate and draft corporate governance documentation, arrange for registration of corporate changes in relevant internal and external registers in the relevant jurisdictions.
- Coordinate and conduct board and shareholder meetings, minute taking and arranging for filing with the relevant internal and external registers in the relevant jurisdictions..
- Ensure all legal entities in scope are compliant with applicable laws and internal governance standards;
- Advise legal entity Directors and Boards on their roles and responsibilities, facilitate the orientation of new Directors.
- Monitor corporate governance developments and advice on tailoring governance practices to meet the needs of each legal entity in scope
- Work closely with the legal team in the region and in other regions to help implement different legal entity governance projects and gain adoption across all GEHC entities
- Lead and manage the work of legal entity governance specialists, paralegals and trainees.
- Lead and coordinate the external party providers involved in legal entity governance.
- Provide strategic inputs into the legal entity governance development of regional and global strategy for centralization of legal services
- Oversee the maintenance of regional legal entity data.
