DISCOVER your opportunity Within the AXA IM Prime Legal team and under the leadership of AXA IM Prime Head of Legal, the Senior Lawyer will deal with all legal matters linked to the business development of AXA IM Prime. The Senior Lawyer will join a team of 3 lawyers dedicated to AXA IM Prime.Your role and responsibilities will include:Supporting the business development of AXA IM Prime and advising on all legal aspects for the product structuring and offering of AXA IM Prime (investment funds, mandates and customized solutions) for AXA Group and third party clients. Drafting and/or reviewing legal documentation in respect of AXA IM Prime business (OM, prospectuses, segregated mandates, advisory agreements, service level agreements, placement/distribution agreements, etc) and leading legal negotiation of the same with all AXA IM Prime clients and counterparties in partnership with AXA IM Prime business teams Advising on the legal aspects for the distribution and placement of all AXA IM Prime products on a cross border basis, including reviewing marketing documentation, negotiating the terms of the legal arrangements for the distribution and placement of AXA IM Prime products (including within wealth management distribution networks) and dealing with passport and other local placement/passport formalitiesAssisting in the review of AXA IM Prime investments in funds, co-investments, and customized solutions in any of the following underlying assets:Private Equity: primary and secondary transactionsInfra Equity: primary and secondary transactionsPrivate Debt (including corporate, infrastructure, commercial real estate): primary and possibly secondary transactions Fund financingFunds of hedge fundsGP minority stake investmentsAssisting in the selection of third party asset managers, including conducting legal due diligence and negotiation on behalf of AXA IM Prime of legal documentation governing AXA IM Prime investmentsReviewing and negotiating potential partnership terms with third party asset managersManaging the relationship with external legal advisors appointed to assist AXA IM Prime legal team for structuring, documenting, ensuring regulatory compliance and negotiating AXA IM Prime managed products as well as AXA IM Prime investments Monitoring, advising on and implementing legislative and regulatory changes affecting AXA IM Prime activity and its clientsVotre ProfilSHARE your unique expertiseWe welcome different combinations of skills & experiences.Your qualifications and experience:Qualified lawyer (bar or equivalent diploma relevant for the country), with ideally a diploma from leading business school Your knowledges and skills:Minimum of 8 years post qualified experienceSuccessful experience acquired from either private practice or in-house working in the asset management/investment funds sectorStrong expertise in private assets funds and investmentsGood knowledge of legal and regulatory environment applicable to asset management companies Ability to deal with a diverse and multi-cultural group of people in different jurisdictionsAbility to exercise good judgement and provide sound advice under tight time constraints in a complex environmentGood drafting and negotiating skills Assertive and business solution orientedGood interpersonal and communication skills, team playerAbility to work autonomously and share knowledge and experience with team members Capacity to work closely with the business, structuring and tax team within a transaction/deal teamWe would love to know more about you.
