Job description
Pleinement intégré(e) à la Direction Juridique du Groupe Worldline, leader du marché européen dans le secteur des services de paiement et de transaction et acteur mondial des paiements, vous serez amené(e) à intervenir au sein du Département Corporate Affairs (gouvernance et droit boursier, droit des sociétés, M&A, Financement).
Pour cela, accompagné(e) par un tuteur, Senior Legal Counsel, vous serez chargé(e), entre autres, tant en France qu'à l'international, d'assister l'ensemble des juristes du département et participerez aux travaux requis dans les domaines suivants :
Gouvernance & Droit boursier :
La participation aux travaux d'actualisation du document d'enregistrement universel de la société cotée notamment sur les aspects liés à la gouvernance; La préparation des réunions des organes de gouvernance (conseil d'administration et comités);Droit des sociétés
Les travaux de coordination et de suivi juridique de l'ensemble des filiales du groupe Worldline (dont mises à jour de l'organigramme juridique et des mandats, restructurations internes et opérations de haut de bilan) ; La contribution au déploiement et à la mise à jour de l'outil du portefeuille de sociétés ;Financement
La participation quotidiennement au support juridique de la trésorerie groupe; La rédaction et négociation de documentations de crédit et de financement ; La rédaction et négociation de contrats-cadre pour la salle des marchés (ISDA, FBF) ; La revue de projets de garanties (données et reçues) ;Plus généralement, toutes recherches juridiques, réalisation de benchmark et études.
Prérequis
Vous êtes élève avocat(e) recherchant un stage PPI ou étudiant(e) de niveau minimum Bac +5 suivant une formation de Master 2 avec une spécialisation en droit des affaires / droit des sociétés, complétée idéalement par une formations en IEP, école de commerce ou LLM.
Le stage proposé pour une durée de 6 mois requiert les qualités suivantes :
anglais opérationnel exigé (oral et écrit), qualités rédactionnelles, maîtrise de l'outil bureautique (pack office), esprit de synthèse, rigueur et capacité d'analyse juridique, approche pratique dans l'exécution des tâches, esprit d'équipe et d'adaptabilité, autonomie, envie d'apprendre, implication, bon relationnel, esprit d'initiative.
