## Juriste M&A / Partenariats et Investissements H/FApplylocations: France, Paristime type: Full timeposted on: Posted Todayjob requisition id: R10094220Rattaché au Directeur Juridique Global Market & Technology / Hydrogène, votre rôle sera de soutenir l'équipe M&A dans le cadre des activités du Groupe, ainsi que veiller à ce qu'Air Liquide soit en conformité avec les lois et réglementations en vigueur.How will you CONTRIBUTE and GROW?Plus précisément, vous assisterez le Directeur Juridique sur des sujets variés relatifs aux activités du périmètre Global Market & Technology / Hydrogène, comme :
* M&A : Assistance en matière d’acquisitions ou de cessions éventuelles (y compris litiges et précontentieux).
* Partenariats / Joint-Venture : Participation à la mise en place de partenariats de développement technologique ou commercial ou de partenariats industriels, sous forme contractuelle ou sous forme de sociétés de joint-venture (structuration, négociation et rédaction de LOIs, MOUS, pactes d’actionnaires), suivi post-création.
* Venture Capital: Assistance au véhicule de *corporate venture capital
* (ALIAD) du Groupe : revue et négociation d’accords de confidentialité, de *term sheets
* et de la documentation d’investissement ou de désinvestissement dans des sociétés-cible.
* Contrats divers : Rédaction et négociation de tous types de contrats commerciaux, industriels ou autres courants (e.g. vente de gaz ou d’équipements, location ou mise à disposition de matériels, baux, consulting, mécénat, règlements de concours scientifiques ...) ; conformité avec les politiques contractuelles Groupe ; rédaction de contrats-type et de conditions générales.Are you a MATCH?* Formation : Titulaire d'un Master 2 en Droit des affaires ou Droit commercial. Un LL.
M. constitue un sérieux atout.
* Expérience : Minimum 3 ans d'expérience professionnelle, idéalement acquise en cabinet d'avocats et/ou au sein de la direction juridique d'un groupe industriel international.
