Sous l’autorité du Group Head of Corporate Affairs, vous participez activement aux missions du secrétariat général en matière de gouvernance et de droit boursier.

A ce titre, vous contribuez notamment aux travaux du comité exécutif du groupe SCOR et de ses émanations, de l’assemblée générale de SCOR SE et des assemblées, conseils et comités de l’ensemble des entités du groupe SCOR. Vous intervenez également sur les sujets de droit boursier, notamment en lien avec la réglementation Abus de Marché.

Le secrétariat général a la charge de la gouvernance, du droit boursier, du droit des sociétés, ainsi que des aspects juridiques des opérations de M&A et de financement ( _corporate finance _).

Sous la responsabilité du Group Head of Corporate Affairs, vous aurez la charge des sujets suivants, ou interviendrez dans leur préparation et suivi:

- la préparation et la tenue des réunions du comité exécutif du groupe SCOR et de ses émanations ; la préparation des procès-verbaux ;
- la préparation et la tenue des assemblées générale d’actionnaires et des conseils (et des comités des conseils) de l’ensemble des entités du groupe SCOR (y compris SCOR SE et SCOR Europe) ;
- la rédaction des sections gouvernance du document d’enregistrement universel du groupe SCOR et la revue de l’ensemble du document afin d’en assurer la conformité aux règles applicables ;
- la mise en place et le suivi des garanties parentales et des filiales ;
- la mise en place et le suivi des délégations de pouvoirs ;
- le suivi des opérations sur le capital de SCOR SE (augmentations de capital, actions gratuites, stock-options, programme de rachat d’actions) ;
- le suivi des questions de droit boursier afférentes à SCOR SE (mécanismes de défense anti-OPA, gestion des campagnes activistes, etc.) ;
- le support au renouvellement des licences d’assurance/réassurance des sociétés du Groupe ; et

la veille juridique sur les sujets de gouvernance et de droit boursier.
- Il est attendu de vous que vous disposiez de l’expérience suivante:

- Au minimum sept à huit ans d’expérience en cabinet d’avocats d’affaires ou, pour partie, au sein du secrétariat général ou de la direction juridique d’un grand groupe ayant des activités internationales ;
- Expérience en gouvernance d’entreprise, étant précisé que l’expérience au sein d’une société ayant un listing aux US serait un plus ;
- Bonne connaissance en droit des sociétés associée à une expertise en droit boursier et notamment en US securities ;
- Préparation et rédaction des documents d’assemblées (ordre du jour/résolution/PV/mandats) ; et Rédaction du document de référence / du document d’enregistrement universel.
- Vous possédez les qualités suivantes:

- Très bon esprit d’analyse et de synthèse ;
- Capacité à coordonner et assurer le suivi de projets pluridisciplinaires ;
- Vision stratégique; capacité à percevoir les enjeux au-delà du respect des règles
- Capacité à échanger avec les opérationnels et leurs équipes ;
- Grandes capacités de rédaction (idéalement juridique) ;
- Dynamisme, implication, autonomie, curiosité intellectuelle et grande rigueur ; et Parfaite maîtrise de l’anglais.
- Education requise:
Diplômé de droit, avec idéalement un LL.M ou un J.D d’une Université américaine ;
Expérience de 7/8 ans en cabinet d’avocats d’affaires ou, pour partie, au sein de Direction Corporate d’une grande entreprise ayant des activités internationales ; et

Parfaite maîtrise de l’anglais.
