Role Overview:

As a Senior Counsel for M&A and Corporate Governance , you will be instrumental in driving Qonto's strategic growth and fortifying our corporate framework. Collaborating closely with our Legal Lead for M&A, Corporate & Governance, you will engage in high-impact initiatives that shape our direction within the European fintech arena.

Key Responsibilities:

  1. Lead M&A Transactions: Oversee both corporate and tax elements of M&A activities, including cross-border transactions, while working with advisors, legal teams, and finance departments.
  2. Manage Corporate Law Transactions: Supervise restructurings, equity transactions, and fundraising efforts, collaborating with local teams and external partners.
  3. Enhance Corporate Governance: Revise and implement governance practices to meet standards, including decision-making processes and board material preparation.
  4. Oversee Corporate Secretary Duties: Ensure accurate record-keeping and draft minutes for board and shareholder meetings.
  5. Facilitate Post-Acquisition Integration: Lead initiatives such as customer migration and employee equity programs.
  6. Coordinate Legal Support: Manage external legal partners and internal stakeholders for effective project execution.
  7. Support Group Reorganization and Tax Structuring: Work with the Finance team to optimize Qonto's corporate structure.
  8. Provide Ongoing Legal Expertise: Offer corporate and business law guidance across the organization.

About Your Future Manager:

Your manager has extensive experience in international and French law firms, specializing in Corporate, M&A, and Private Equity matters. With a multicultural background and education in both French and Common law, she is dedicated to leading strategic legal projects at Qonto.

What She Brings to the Team: Your manager will assist you in developing your skills and integrating into the team. With a business-oriented and solution-focused mindset, she fosters an environment of confidence and autonomy, encouraging team members to take ownership of their projects.

About You:

  1. Experience: You possess a minimum of 5 years in corporate law and/or M&A, ideally with a blend of private practice and in-house experience. Experience in fintech or technology sectors is advantageous.
  2. Expertise: You have a comprehensive understanding of corporate law, M&A, and governance practices, with the ability to apply this knowledge effectively.
  3. Solution-Oriented: You provide business-focused recommendations that balance legal and strategic objectives.
  4. Communication: You excel in managing relationships with executives and external stakeholders, demonstrating strong oral and written communication skills.
  5. Project Management: You have a proven ability to lead complex, cross-functional legal projects and manage multiple initiatives concurrently.
  6. Analytical Mind: You consistently deliver well-reasoned, practical solutions to business challenges with meticulous attention to detail.
  7. Adaptability: You thrive in a dynamic environment and are enthusiastic about the evolving landscape of fintech.
