Ipsen is seeking a Legal Counsel to join its Corporate and Securities Law Department. Reporting to the Head of the Department and supporting the Group General Counsel, you will contribute to addressing a wide range of legal issues in corporate law, listed company regulations, and corporate governance.

**Key Responsibilities**

In this role, you will be in charge of:
**Corporate Legal Support**
- Participate in internal reorganization operations (recapitalizations, restructurings) and exceptional events such as creating subsidiaries, branches, and establishments, or managing activities like headquarters relocation.
- Provide comprehensive legal management for French subsidiaries, including financial statement approvals, corporate governance meetings, mandates, power of attorney management, and formalities.
- Coordinate internationally on dividends, beneficial owner registers, legal support for projects, and information reporting.
- Maintain and update the Group's organizational chart.

**Governance and Regulatory Compliance**
- Prepare and manage the Annual General Meeting (AGM) for Ipsen S.A., a listed company.
- Update the “Corporate Governance and Legal Information” chapter of the Universal Registration Document (URD) in both French and English, ensuring compliance with regulatory changes and project management through filing with the AMF.
- Publish press releases related to governance and remuneration matters.

**Capital Operations**:

- Monitor shareholding, capital transactions, and financial authorizations.
- Prepare and publish voting rights reports, monthly AMF declarations, share buyback programs, liquidity agreements, and employee shareholding operations.

**Stakeholder Relations**:

- Build and maintain trusted relationships with internal stakeholders (head office and subsidiaries) and external partners (banks, account keepers, lawyers, auditors, market authorities).
- Respond to questionnaires on corporate law and governance.

**Regulatory Monitoring and Governance Initiatives**:

- Ensure compliance with evolving laws, AMF requirements, Afep-Medef recommendations, and proxy advisories.
- Actively participate in industry meetings and forums.

**Insider Information and Securities Compliance**:

- Oversee stock market ethics, manage blackout periods, and monitor executive securities transactions.
- Maintain insider and confidentiality lists, ensuring periodic and continuous information updates.

**What we are looking for**

You have at least 5 years of professional experience in a listed company, preferably within the SBF120 index.

You speak fluently both English and French

You have already demonstradted great communication skills as well as a solution oriented-mindset.
