With clients including Apple, Amazon, Budweiser and Nike The Mill is the most recognizable name in VFX advertising. **MPC** - Serves Film and Episodic organization. Having won several Oscars and other prestigious awards MPC partners with all the world leading film studio and has worked on films including The Lion King, Godzilla, Top Gun, 1917, The Greatest Showman and Guardian of the Galaxy, to name but a few. **Mikros** - Creating market leading animation, Mikros has created iconic shows such as Rug Rats, Alvin and the Chipmunks, SpongeBob and Paw Patrol. **Technicolor Games** - Serves AAA game studios and work on asset creation as well as cinematics. Having worked on titles such as Call of Duty, Resident Evil, FIF and, Grand Theft Auto, Technicolor Games is growing incredibly quickly and rapidly moving into other areas of the games ecosystem. **Job Description**: **Mission** Within the General Secretariat of the Technicolor Creative Studio entity, and attached to the _General Counsel, _the CCO will be responsible for the following missions, accompanied by a team of 1 to 2 people: - For the company listed on Euronext: Ø **Stock exchange law**: ü coordination of the universal registration document and drafting of the legal parts ü monitoring of the "Market Abuse" regulation ü follow-up of other regulated information (directors' declaration, share buyback, number of voting rights, etc.) ü relations with the AMF ü relations with the account holder and centraliser and the ADR contract manager Ø **Board of Directors**: ü preparation of presentations submitted to the Board of Directors and Committees of the Board on governance, compensation and legal matters ü writing minutes ü drafting and monitoring of long-term compensation plans in shares Ø **General Assembly**: ü organization of the General Assembly ü drafting of documentation (convening brochure, notice of meeting, etc.) ü dialogue with _proxy advisors_ and investors (roadshow governance) Ø **Regulatory developments**: ü monitoring of developments ü representation of the Group's interests before AFEP - For Group subsidiaries (108) Ø **For the subsidiaries**: Drafting the group processes related to the decision of the corporate bodies (approval of the accounts, increase or reduction of capital, change of director, various statutory amendments, _etc._). Draft corporate documentation for French Subsidiaries. Ø **For foreign subsidiaries**: liaise with local officials or lawyers, review documentation 3. **M&A**: Coordination and monitoring of the Group's M&A operations with local lawyers. 4. **Group financing**: Support on the legal aspects of the Treasury and Financing team (implementation and monitoring of term loan contracts, _revolving_ credit, factoring, guarantees, pledges) **Qualifications**: **Profile** Holder of a postgraduate degree in business law and CAPA (if possible), ideally supplemented by a business school diploma, you have a successful experience of at least 10/15 years in a law firm and/or a department specializing in corporate law of a listed company. You have demonstrated your ability to be rigorous, analytical and synthesized, in a pragmatic approach. You have a sense of teamwork and are used to working in project mode with various interlocutors. A good command of office tools and an excellent practice of English are essential.
