POSITION TITLE:
Counsel

REPORTS TO:
Legal Manager

LOCATION:
Boulogne-Billancourt, France

Objectif
Responsable de fournir un soutien et une expertise juridique aux différentes entités de PTI, en analysant et en élaborant des documents juridiques pour accompagner les départements Asset Management, Ventes, Administration des baux, Acquisition de sites, entre autres.

Fonctions

  • Rédige, examine et négocie des contrats immobiliers (notamment LOI, baux civils, baux emphytéotiques, cessions d'actifs), établit les conditions convenues avec les différentes parties et apporte son soutien aux Asset Managers et Property Managers (chargés de la relation avec les bailleurs),
  • Rédige des contrats de services, des contrats d'hébergement télécom et assiste le personnel opérationnel en charge des Ventes et des Baux (chargés de la relation avec les opérateurs),
  • Prépare les documents sociaux (ex. : procès-verbaux, procurations) conformément aux statuts des sociétés et aux pactes d'actionnaires,
  • Supervise le secrétariat juridique des sociétés, participe aux opérations de restructuration et tient à jour le dossier juridique des entités françaises,
  • Assure le suivi des contentieux en cours,
  • Prépare et met à jour les tableaux de suivi et les rapports demandés, met à jour les registres internes (ex. : procurations, contentieux),
  • Sert d'interlocuteur auprès des avocats et notaires externes et coordonne avec eux afin de préserver les intérêts de PTI,
  • Représente la société auprès des contreparties et des clients,
  • Suit toute évolution législative ou procédurale sur le marché susceptible d'impacter l'activité,
  • Exerce toute autre fonction ou mission requise en qualité de juriste de la société.

Conditions De Travail Et Exigences Physiques
Poste basé dans un environnement de bureau standard. Station debout, assise et déplacements quotidiens requis.

Qualifications

  • Titulaire d'un Master en droit immobilier, d'un diplôme en droit des sociétés ; la possession du titre d'avocat sera appréciée,
  • Justifier d'au moins 8 ans d'expérience et de pratique dans des problématiques juridiques liées à l'immobilier. La connaissance et l'expérience dans le secteur des télécommunications constituent un atout apprécié,
  • Bilingue (français et anglais courants),
  • Disposer de compétences organisationnelles,
  • Connaissance des réglementations locales,
  • Maîtrise avancée de Microsoft Office, notamment Word, Excel, PowerPoint et Outlook, aisance dans un environnement majoritairement digital,
  • Excellentes compétences verbales et rédactionnelles, excellentes aptitudes relationnelles,
  • Disponibilité pour répondre à des demandes imprévues et exceptionnelles,
  • Capacité à travailler sous pression,
  • Apprécier le travail en équipe aux côtés du personnel opérationnel.

Purpose
Responsible to provide legal support and expertise to the different areas of PTI, analyzing and elaborating legal documents to support Asset Management, Sales, Lease administration, site acquisition departments among others.

Functions

  • Draws up, reviews, and negotiates real estate agreements (in particular LOI, civil leases, emphyteutic leases, asset deals), establishes the conditions agreed with the different parties and supporting Asset Managers and Property Managers (in charge of relation with landlords),
  • Drafts services agreements, telecom hosting agreements and supports operational staff in charge of Sales and Leases (in charge of operators relationship),
  • Prepares corporate documents (e.g.: minutes, PoAs) in accordance with the companies' bylaws and shareholders' agreements,
  • Monitors the companies' legal secretary, takes part in restructuring operations, and maintains legal file of the French entities,
  • Follows-up pending litigations,
  • Prepares and up-dates trackers and requested reports, up-dates internal registers (e.g. PoAs, litigation),
  • Serves as a liaison with the external lawyers and notaries, and coordinates with them to safeguard the interests of PTI,
  • Represents the company before counterparts and clients,
  • Monitors any key legislative or procedural changes in the market that might be impacting business,
  • Exercises other duties or functions as required in the capacity of Attorney to the company.

Working Conditions And Physical Demands
Position works in a standard office environment. Standing, sitting, and walking required daily.

Qualifications

  • Have a Master's degree in real estate law, a degree in corporate law and a valid title of Lawyer will be valued,
  • Have at least 8 years of experience and practice in related issues of Law in relation to real estate. The knowledge and experience in the telecommunications sector is an advantage that will be valued,
  • Bilingual (French and English fluent),
  • Have organizational skills,
  • Knowledge of local regulations,
  • Advanced knowledge of Microsoft Office, including Word, Excel, PowerPoint and Outlook,ease in a predominantly digital environment,
  • Excellent verbal and written skills, excellent interpersonal skills,
  • Availability to respond to extemporaneous and extraordinary requests,
  • Ability to work under pressure,
  • Enjoy working in a team alongside operational staff.
