Sous l’autorité du Group Head of Corporate Affairs, vous participez activement aux missions du secrétariat général.
A ce titre, vous contribuez principalement aux travaux de l’équipe en matière de gouvernance et de droit boursier. Vous intervenez également, de manière moins régulière, sur les sujets de droit des sociétés ainsi que sur les opérations de M&A et de financement.
Le secrétariat général a la charge de la gouvernance, du droit boursier, du droit des sociétés, ainsi que des aspects juridiques des opérations de M&A et de financement ( _corporate finance _).
Sous la responsabilité du Group Head of Corporate Affairs, vous interviendrez sur l’ensemble des missions du secrétariat général.
A ce titre, vous contribuerez notamment aux sujets suivants (sans que cette liste soit exhaustive):
- la préparation et la tenue des réunions du comité exécutif du groupe SCOR et de ses émanations ; la préparation des procès-verbaux ;
- la préparation et la tenue des assemblées générale d’actionnaires et des conseils (et des comités des conseils) de l’ensemble des entités du groupe SCOR ;
- la rédaction des sections gouvernance du document d’enregistrement universel du groupe SCOR et la revue de l’ensemble du document afin d’en assurer la conformité aux règles applicables ;
- la mise en place et le suivi des garanties parentales et des filiales ;
- la mise en place et le suivi des délégations de pouvoirs ;
- le suivi des opérations sur le capital de SCOR SE (augmentations de capital, actions gratuites, stock-options, programme de rachat d’actions) ;
- le suivi des questions de droit boursier afférentes à SCOR SE (mécanismes de défense anti-OPA, gestion des campagnes activistes, etc.) ;
- le support au renouvellement des licences ;
- la préparation de la documentation contractuelle organisation les opérations de M&A ;
- le suivi des dossiers jusqu’à la signature et au closing ;
- la préparation de la documentation de financement bancaire ;
- la préparation des autorisations sociales liées aux opérations de M&A et de financement ; et
- le suivi juridique des sociétés du groupe SCOR et la réalisation d’opérations de restructuration intra-groupe (TUPs, fusions, scission, reclassements de titres, apports, etc.) ; et
- la veille juridique sur les sujets de gouvernance et de droit boursier.
- Il est attendu de vous que vous possédiez les qualités suivantes:
- Très bon esprit d’analyse et de synthèse ;
- Capacité à échanger avec les opérationnels et leurs équipes ;
- Grandes capacités de rédaction juridique ;
- Dynamisme, implication, autonomie, curiosité intellectuelle et grande rigueur ; et Parfaite maîtrise de l’anglais.
**Education requise**
- Diplômé de Droit, avec idéalement un LL.M ou un J.D d’une Université américaine.
