Key Responsibilities

As the head of the legal department, you will oversee all legal matters pertaining to Counsel Treuhand GmbH's operations, including the formulation of commercial agreements, general terms and conditions, partnerships, investment proposals, operational contracts, and governance issues. You will serve as the primary liaison with external legal advisors.

· Strategic Leadership: Direct the corporate legal strategy to safeguard and advance the company's interests. Provide expert legal counsel to the board and executive team, proactively identifying potential legal challenges and advising on strategic solutions.

· Team Management: Lead and mentor the legal team, ensuring the delivery of high-quality legal services aligned with corporate objectives.

· Contractual Agreements: Draft and negotiate a variety of contracts, including bylaws, shareholder agreements, commercial contracts, confidentiality agreements, and agreements related to the construction and operation of charging infrastructure.

· Real Estate Transactions: Manage the drafting and negotiation of lease agreements, providing guidance to operational teams on routine lease matters.

· Corporate Governance and Finance: Oversee corporate governance, manage internal restructuring, and facilitate fundraising efforts.

· Dispute Resolution: Handle commercial and employment disputes, supervising external legal counsel as necessary.

· Additional Responsibilities: Address matters related to insurance, taxation, compliance, data protection, intellectual property, and competition law.

Essential Skills
  • Juris Doctor (JD) from an accredited institution.
  • Minimum of 10 years of legal experience in a law firm or corporate environment, preferably in the energy or technology sectors.
  • Proven leadership and management capabilities.
  • Strong negotiation and communication skills.
  • Ability to formulate legal strategies and objectives.
  • High standards of professional ethics and integrity.
  • Proficient in managing multiple projects under tight deadlines.
  • Familiarity with IT tools such as Microsoft Office, Notion, Miro, and Slack.

Preferred Qualifications

  • Experience in corporate governance, risk management, and compliance.
  • Previous leadership experience in a rapidly growing technology or energy firm.
  • Knowledge of intellectual property law, contracts, and litigation processes.
