Role Overview
We are seeking a proactive Senior International Legal Counsel to provide support for the IDEMIA Smart Identity (ISI) Division. In this role, you will establish yourself as a vital business partner among key stakeholders within the Division, including Sales Managers, Bid Managers, Finance, and Program Managers.
Your primary responsibility will be to deliver expert legal and contractual support to the ISI business, thereby aiding in the achievement of ISI objectives, business expansion, profitability, and risk management. You will also play a critical role in safeguarding investments in technology, expertise, and marketing, ensuring the careful handling of sensitive information, and assisting the ISI team in maintaining compliance with applicable local and international regulations concerning data privacy, ethics, and antitrust laws.
Key Responsibilities
In an international context, your duties will encompass a wide array of tasks, including:
- Drafting and negotiating agreements with ISI clients and partners. Types of agreements include direct sales of products and services, RFPs, non-disclosure agreements, licenses, evaluations, and various service offerings, along with undertaking agreements such as offers, letters of intent, memoranda of understanding, term sheets, framework agreements, individual agreements, master agreements, change requests, amendments, and settlements;
- Providing guidance during the execution of contracts, which involves analyzing contractual requirements and provisions, as well as addressing legal issues that may affect the business, and supporting the implementation of corrective actions, including claims and settlements;
- Ensuring appropriate approvals on legal matters, as well as critical financial, technical, and business terms within contracts;
- Under the supervision of the General Counsel for the ISI Division, managing communications with external legal counsel and coordinating litigation efforts with external law firms as necessary;
- Ensuring adherence to and consistency in the application of ISI governance and policies.
