**CDD - International Business Lawyer - Licensing and Products (F/M)**

**Context**:
Within a dynamic Legal Department and under the responsibility of the Senior International Business Lawyer, your mission is to ensure actual legal security of business in the international regions you will be responsible for, in close coordination with the tender teams and you will be responsible for the following activities for all or part of the Business Units of the AXENS Group.

**Missions**:
Your missions will be as follows:

- Extensive and pragmatic analysis of sales contracts for energy projects (OTC, public and private tenders files) within the scope assigned to you: including process licensing contracts, sales of basic engineering services, products and services, study contracts.
- Analysis, negotiation and drafting of commitments ancillary to the above contracts, in particular: pre-contractual agreements (prior to bids), confidentiality agreements, consortium agreements, subcontracting agreements, technical warranty agreements;
- In particular, you prepare deviations and recommendations on the legal and drafting aspects of all these contracts and invitations to tender, and identify high-risk clauses, in compliance with the AXENS Group's contractual policy and governance;
- Participation in the preparation and follow-up of negotiations concerning these contracts or invitations to tender, in direct contact with bid teams, technical teams, other support functions (notably finance, insurance, ethics and compliance), customers and partners;
- Administration with your management of international pre-litigation or litigation (possibly mediation and/or arbitration), in this respect, you coordinate Axens' law firms appointed to defend Axens’ interests;

You are familiar with:

- negotiating international contracts.
- structural arrangements to be proposed and implemented for international projects and calls for tender.

Occasional trips abroad are to be expected.

**Educational background and Required Level**:
You have a Master’s degree in international contract law or international business law. You have at least 5 to 8 years' experience as an International Contracts Lawyer in an energy company. Knowledge of license agreements is a plus.

You have an excellent knowledge of contract law (Civil and Common Law) and master the general principles of private and public tendering abroad.

You speak and write perfectly legal English, as an essential tool for your daily life.
