The Compliance function is a Second line of defence (LOD) function, responsible for reviewing and challenging the activities of the Group’s businesses (also referred to as “the First LOD”) to ensure that they effectively manage as “Risk Owners” the risks inherent in or arising from the conduct of their activities and for which they are responsible. The Second LOD consists of 'Risk Stewards' who are independent of the commercial risk-taking activities undertaken by the First LOD. The Compliance function is a Risk Steward for a number of non-financial risks in accordance with HSBC Group’s risk framework.

The Head of Regulatory Engagement and Conduct EU (European Union) is responsible, along with the HBCE Head of Financial Crime for supporting the business facing Compliance Officers to ensure HSBC manages the Compliance risks that it faces.

Regulatory Conduct responsibilities include:

- The effective oversight and advice on high-level Regulatory Compliance (RC) risk related matters relating to Continental Europe, the oversight of RC risk related stewardship across Continental Europe Compliance function and the assessment of current and forward-looking aspects of RC risk exposure to the HBCE CCO and the business facing Compliance Officers.
- Working closely with the business facing Compliance Officers, establish strategic RC standards and policies and support the business facing Compliance Officers in setting risk appetite limits in relation to the RC risks (specifically, breach of regulatory duty to clients and other counterparties, inappropriate market conduct, breach of other regulatory requirements) as relevant to the business facing Compliance Officers areas of responsibility. Oversee the implementation and operational effectiveness of those standards and policies by business facing Compliance Officers across Continental Europe ensure that HBCE RC risks are managed in a commercially sensitive, practical and cost effective manner.
- Support the business facing Compliance Officers in the development and implementation of a consistent and embedded Regulatory Compliance risk management framework and (where relevant and working closely with the Compliance CCO) lead the development of systems, processes and other capabilities that support this.
- Acting as a trusted adviser to the senior Europe executive stakeholders (including the Heads and senior management of Functions and Operations) on RC risks and assisting the leadership of the HBCE Compliance Function and other compliance colleagues on all material RC risk related issues.
- To oversee Whistleblowing and regulatory conduct related policies and frameworks and (in conjunction with the COO and the business facing Compliance Officers) their implementation.
- To own and manage the identification and (as relevant) analysis of regulatory developments and work with business facing Compliance Officers and their teams to advise Risk Stewards and 1LoD on those developments and support them to understand and map the regulatory requirements applicable to them to the wider HSBC control framework.
- HSBC’s policies, processes, systems and controls in managing regulatory conduct related risks.
- Acting as a member of the HBCE Compliance ExCo and attending other relevant committees (as required) to report on progress and issues in relation to the operational effectiveness of relevant HSBC’s policies.
- Ensuring consistent governance within the Compliance function of RC risk exposure and, in conjunction with the RCCOs, providing analysis, reporting and governance that is independent of 1LoD, thereby maintaining an objective assessment of relevant RC risk exposures.
- Regulatory Affairs responsibilities include:

- The role consists of being a single point of contact for managing the regulatory engagement, primarily with the European Central Bank (ECB) Joint Supervisory Team (JST) and ensure coordination of engagement with all other key supervisors in the EU, in particular the French Prudential Supervision and Resolution Authority (“ACPR” in French), Autorité des Marchés Financiers (AMF), Malta Financial Services Authority (MFSA), the German Federal Financial Supervisory Authority (BaFin) and Commission de Surveillance du Secteur Financier (CSSF) as regulators of main legal entities.
- Ensure that there are “no surprises” in relation to dealings with regulators and / or regulatory developments affecting the Bank, and in particular as they relate to Compliance risks.
- Lead the team that supports HBCE at a regional level (including European entities under its remit, notably France, Germany and Malta) and oversees regulatory engagements across Europe.
- “Regulatory Engagement” for these purposes includes meetings, visits, reviews, thematic work, investigations, enforcement activities, reporting, information provision, correspondence and similar and whether of a regular, recurring or ad hoc nature.
