Context 

In 2024, the Industrial Solutions & Projects Business Group will separate from the Nexans Group to become an independent company.

Our future company, which will become a reality at the end of 2024, boasts double-digit growth, prospects for expansion in sectors at the heart of the energy and industrial transition, with an international presence close to our customers.

We manufacture and design cables and complex solutions for our industrial customers. With a balanced presence between Western Europe and Asia, and recent investments in Poland and the United States, our human-scale company is a local player with a global reach.

Over the course of this year, we will be working together to define our identity, values and working methods in line with our culture, our size and our ambitions, while building on our century-old industrial culture, the solidity of our technical skills and our proximity to our customers. Speed, responsiveness, simplicity and pragmatism will be at the heart of our approach.

As part of our separation, we need to set up our own support teams for the central functions: Finance, Human Resources, Information Systems, Purchasing and Legal. More than 50 positions are being created to form new, autonomous teams.

The General Counsel ISP, based in La Défense, near Paris, is looking for a seasoned and versatile lawyer to strengthen the team’s capabilities notably in France/Europe but working closely with the other lawyers based in China and Korea and with a multitude of colleagues in other functions.

Purpose 

Contribute to the sustainable and successful growth of ISP by providing sound and actionable advice and input to business decisions that are achieving the business objectives based on a on sound risk analysis. Ensure compliance with all relevant laws and regulations and the highest ethical standards. Represent and defend ISPs legal interests towards external stakeholders, such as contracting parties, authorities etc.

Areas of responsibility

ISP has a small, versatile and agile team in a very stimulating international environment. The responsibilities and tasks of the candidate will therefore be broad and varied:

1/ Contracts

Ensure all contracts are in compliance with ISP policies/general management procedures Accompany and participate in the business making decisions Identify risks and promote risk awareness and assessment in ISP with the objective to achieve appropriation of the concept and the method of risk assessment by the operational teams Exchange continuously with business people regarding foreseeable contract execution risks and contribute to problem solving Participate in the contract education of sales and procurement managers/contract managers, in particular regarding risks to be addressed in contracts Participate in design of local standard conditions and local model agreements , aimed at streamlining processes whilst limiting risks to the business; ensure compliance therewith

2/ Legal Compliance Management

Participate in:

. The implementation & deployment (e.g. training) of ISP Group level procedures, in particular compliance programs (Code of Ethics, competition compliance program, …) thereby contributing to risk prevention and mitigation

. Contribute to in the design and/or implementation of GMP’s and compliance programs

Advise on ethics and compliance issues (antitrust, export control, anti-corruption, know your counterparty/supply chain due diligence …). Deliver compliance trainings. Investigate with the Group internal complaints Contribute/Drive risk management

3/Company law matters

Drive corporate governance of local entities Be responsible for company law matters, preparation of board and shareholders meetings, drafting of resolutions, keeping of corporate books, ... Contribute to corporate restructurings, M&A etc.

4/Litigation

Conduct litigation (define and /or propose strategy, facilitate briefs and documentation preparation) Define the strategy (inter alia via a risk analysis), together with the responsible P&L manager, for managing threatening and/or actual claims Conduct the litigation processes and manage the external providers (counsel, experts, other) Perform reporting to the relevant stakeholders (country / business unit/ general management

5/ Legal Monitoring /Law firms

Be curious and alert to constant change: keep a finger on the pulse of relevant legislation, continue to learn, participate in relevant internal and external trainings Translate new legal framework into up to date and actionable guidance Contribute to law firm management – selection of provider, clear mandates and supervision, constructive and efficient cooperation, maximizing value for money

And any other tasks as instructed by the ISP General Counsel

The role involves some international travel from time to time.

Position sizing

Considerable independence advising across borders all over Europe , (Energy & Transportation Europe, Automation, Wind [+ Aerospace & Medical]

Required skills and qualifications 

Degree in Law: Master of laws from a European university. A degree from an English speaking university would be a plus. Language skill : fluency in English both written and spoken. Spanish, Italian or German would be a plus. Experience abroad is appreciated. Field of specialty : generalist with competence in commercial and corporate law (contract and litigation) Experience in compliance matters (including implementation of compliance programs) and in particular competition law is a plus Well versed in legal terminology and skilled in writing.
