Legal Operations at Hexa

Hexa stands at the intersection of a venture builder in both the US and Europe and an investment firm. Consequently, our legal agenda encompasses everything from company formation and governance to board-level and M&A-related matters. The legal team at Hexa is continually seeking innovative ways to enhance organizational efficiency, ensuring we remain ahead of the market.

Our mission is to support Hexa's growth and its startups across a broad spectrum of topics:

Internal Hexa (financial holding) matters: primarily focusing on corporate, M&A, tax, regulatory issues, as well as financing, labor law, intellectual property, and data privacy.

Portfolio-related (i.e., startups) matters: coordinating fundraising efforts in France and the US (Seed, Series A, B, C, etc.), exits, and M&A—averaging over 10 deals annually.

Launching New Startups:

  1. Advise founders on legal and regulatory challenges related to SaaS, fintech, and AI, including financial and fund formation regulations (AIFM directive), health regulations, payment regulations (DSP2), and intellectual property.
  2. Assist with daily legal needs, such as incorporation in France and the US, trademark registration, establishing BSPCE schemes, drafting terms and conditions, privacy policies, and other corporate matters.
  3. Provide coaching/training to founders and teams on legal topics, including fundraising and term sheets, BSPCE, and corporate issues.

As a Corporate Legal Advisor, you will collaborate directly with Grégoire, General Counsel (a former lawyer at the Paris Bar), to support Hexa's financial strategy and the legal needs of our startups.

Key Responsibilities:

  • Support the company's financing and M&A strategy, along with special corporate and venture projects (corporate, regulatory, tax).
  • Structure and implement employee incentive mechanisms and management packages.
  • Draft, review, and negotiate various agreements: fundraising term sheets (Seed, Series A, B, C, etc.), shareholders agreements, SAFE/BSA AIR, corporate documentation for share capital increases, SPA, BSPCE/ESOP.
  • Assist new projects with their legal and contractual setups: commercial contracts, terms and conditions, privacy policies, and regulatory challenges.
  • Prepare training sessions for founders on legal matters.
  • Manage day-to-day legal processes: IP filings, incorporations, insurance, etc.

Qualifications:

  • Pragmatic, solution-oriented, quick executor, and detail-oriented.
  • A strong professional background in a law firm.
  • Fluency in English and French is essential (for communication and legal drafting).
  • Knowledge of corporate law and transactional practices is advantageous, but being a generalist is crucial.
  • Ability to provide concise, commercially-focused legal advice.
  • Personality traits are important: a good sense of humor, adaptability, willingness to advocate for your opinions, and strong team spirit.
