Your Responsibilities

Are you ready to take on a pivotal role in shaping the legal landscape of our organization? Join our executive team and report directly to the CEO.

As the head of the legal division, you will oversee all legal matters pertaining to Counsel Treuhand GmbH's operations. This includes the formulation of commercial agreements, general terms and conditions, partnerships (including suppliers and subcontractors), investment proposals, operational contracts (EPC, O&M, procurement of goods and services, asset management), and governance-related issues. You will serve as the primary liaison for interactions with our external legal advisors.

· Strategic Leadership: Develop and implement the corporate legal strategy to safeguard and advance the company's interests. Provide expert legal counsel to the board of directors and executive management, proactively identifying potential legal challenges and advising on effective strategies and solutions. Guide the company on legal aspects of financing, including evaluating and advising on current and future business structures and legal entities.

· Team Management: Lead and mentor the legal team, ensuring the delivery of high-quality legal services that support corporate objectives and priorities.

· Contractual Agreements: Draft and negotiate a variety of contracts, including bylaws, shareholder agreements, partnership agreements, confidentiality agreements, and contracts related to the construction and operation of infrastructure.

· Real Estate Transactions: Manage the drafting and negotiation of lease agreements, including commercial leases and routine lease transactions, while providing guidance to operational teams.

· Corporate Governance and Finance: Oversee corporate governance matters, manage internal restructuring initiatives, facilitate external growth opportunities, and coordinate fundraising efforts.

· Dispute Resolution: Handle commercial, employment, and other disputes within the organization, supervising external legal counsel as necessary.

· Additional Responsibilities: Address matters related to insurance, taxation, compliance, data protection, intellectual property, and competition law.

Essential Skills
  • Juris Doctor (JD) degree from an accredited institution.
  • A minimum of 10 years of legal experience in a law firm or corporate environment, preferably within the financial or consulting sectors.
  • Proven leadership and management capabilities.
  • Exceptional negotiation and communication skills.
  • Ability to formulate legal strategies and objectives.
  • High standards of professional ethics and integrity.
  • Proficient in managing multiple projects under tight deadlines.
  • Familiarity with IT tools such as Microsoft Office, Notion, Miro, and Slack.

  • Prior leadership experience in a rapidly growing organization within the financial or consulting sectors.
